The LIVE Studio (along with our associates, “The LIVE Studio”, “we”, or “us”) provides online fitness services and similar content, products and community features through The LIVE Studio websites, for example those for our studio pages (the “The LIVE Studio Site”), the user controls on devices connected to The LIVE Studio online offerings and through mobile, desktop, or device applications (including iOS and Android applications (“Apps”)) and The LIVE Studio’s social media pages (for example Facebook, Instagram, Spotify and Twitter). To make these Terms simpler to navigate, The LIVE Studio Sites and Apps, along with The LIVE Studio tablet and studio user controls and The LIVE Studio’s social media presences are here gathered and termed the “The LIVE Studio Service” or “the Services”. By registering as a member or by visiting, exploring, or utilising The LIVE Studio Service in any form, you (as a “user”) accede and agree to be bound by these Terms of Service (“Terms”), which form a binding agreement between you and The LIVE Studio.
If you don’t want to be bound by these Terms, you cannot access or use The LIVE Studio Service. Certain aspects of The LIVE Studio Service might be subject to extra terms and conditions as laid out on other occasions; your utilisation of those aspects of The LIVE Studio Service is subject to such extra terms and conditions, which are included in these Terms by this paragraph.
1. Who Can Use The LIVE Studio Service?
You must be 18 years old at least, or the age of legal majority in your jurisdiction of residence, to buy a The LIVE Studio membership subscription and become a Member (as defined in the Membership Terms).
Have been given permission to participate by a doctor or health care professional;
Have permission to take part from a parent or legal guardian who will provide supervision;
Agree and comply with all Safety Precautions and instructions in the applicable user manual;
Rest, drink water and alter as needed.
We might, at our complete and sole discretion, refuse to offer The LIVE Studio Service to any individual and alter the eligibility terms at any time. You are entirely responsible for making sure these Terms are in accordance with all laws and rules that apply to you. The right to use The LIVE Studio Service will be rescinded where these Terms or those of The LIVE Studio Service are disallowed or contradictions with any relevant laws. Also, The LIVE Studio Service is given solely for users’ personal, non-commercial use, and not for that of any third party.
2. License to Use The LIVE Studio Service
License. Subject to your acceptance of these Terms and purely for the time you are allowed by The LIVE Studio to gain access to and utilise The LIVE Studio Service, The LIVE Studio gives you a restricted, non-transferable, non-exclusive, cancellable right and license to have access to and utilise The LIVE Studio Service for your own personal, non-commercial uses. This privilege cannot be given or sublicensed to any person. This license incorporates the permission to access Content (as laid out in the following paragraphs) on The LIVE Studio Site and the permission to download one copy of any available Apps to any single device for your personal, non-commercial home use, on the condition that you retain in place all copyright and proprietary notices. Such a license grant is liable to your accepting and keeping to The LIVE Studio Intellectual Property and DMCA Policies which comprise a section of these Terms. This license will be applicable unless Users contravene these Terms, or if The LIVE Studio or you end these terms.
Restrictions. Unless it has been made singularly permissible in writing by an approved staff member of The LIVE Studio, you will not copy, redistribute, sell, create subsidiary works from, reverse engineer, or take apart any of The LIVE Studio Services. Also, you agree not to make any attempt to interfere with, remove or damage The LIVE Studio Service. Unless otherwise noted, making copies of or altering any of The LIVE Studio’s Content or using our Content for any means apart from your own personal, non-commercial use of our Services – which includes utilisation of any Content on other websites – is strictly disallowed. Any rights not hereby granted by The LIVE Studio in these Terms are reserved.

4. Membership Requirements Registration
To obtain complete access to The LIVE Studio Service, you will need to register to become a member of The LIVE Studio Service and sign a subscription agreement in order to obtain access to our live online classes (a “Subscription”). These Subscriptions are controlled by the Membership Terms. You will have to provide full and reliable personal information in order to register with The LIVE Studio, fulfil the Subscription procedures, and tell us in good time if any of this data alters. If you do not maintain your account data in good time and in a proper order, we might be compelled to suspend or end your Subscription.
In-Studio Classes and Membership. Taking part in our live or recorded online classes is potentially subject to extra charges that are several from the Subscription charges for The LIVE Studio’s Content. You should have registered an account on The LIVE Studio website to be able to obtain access to online classes and/or buy studio membership. However, a subscription is not needed. Extra information about our online classes and memberships can be found on our website.
Profile Information and Picture. You cannot use another person’s name, or a name, place, other public profile data or picture that contravenes third party rights or contravenes the law, or that is offensive, obscene or otherwise unacceptable (in The LIVE Studio’s complete discretion).
Account Security. You are in charge of for any activity that takes place as part of your account activity, this encompasses any actions by unauthorized users. You will not let other people utilise your account. You should take care to keep your password secret, and should you be using a device that others are able to access, you should log out of your account after using any of The LIVE Studio’s content and sites. Should you discover anyone has accessed your account without permission, you must change your password and notify the Support team at once.
5. Membership Structure and Fees
The LIVE Studio will give information on our current studio memberships and Subscription requirements on our website, or by other matters via The LIVE Studio Service. Our content, features, charges and fees could all change.
7. Termination and Deletion of Account
These Terms start on the day you begin to use The LIVE Studio Service and will be ongoing for the time you hold an account with The LIVE Studio or continue to use our services.
Termination. The LIVE Studio might at our complete discretion, in whole or in part, suspend, deactivate, or terminate your account or delete any User Content (as explained below) which you gave. We may do this for any lawful reason, including if we decide or discover a violation of these Terms by you, or if your conduct or User Content could be seen as damaging to The LIVE Studio’s reputation. If we deactivate your account, you cannot register again or use The LIVE Studio Service with a new user name or profile. The LIVE Studio could restrict your access to our site to prevent unauthorised re-registration.
Effect of Termination / Account Deletion. When these Terms are ended, the licenses given by The LIVE Studio will also end. The proceeding sections will exist after termination: Privacy, User Content, Indemnification, No Warranties, Limitation of Liability, Safety Warnings, Intellectual Property, and other allocations. When an account is deleted for any reason, there is no guarantee that User Content will remain available. The LIVE Studio will not be responsible for the loss of User Content in these cases. To explain further, should you deactivate or end your Subscription or it is ended for another reason, access to all online classes and other Content will be revoked. The LIVE Studio, at our complete discretion, might make available a very limited quantity of Content or features to non-subscribers on discrete occasions; all utilisation of such Content is controlled by these Terms.
8. User Content
“Content” means text, audio, video, pictures, software or authored creations of any kind, as well as any other materials that are shared, created, given or made accessible via The LIVE Studio Service. “User Content” refers to content that registered users (this includes you) allow to be accessed via The LIVE Studio Service. Content encompasses, without constraint, User Content.
This User Content, regardless of whether it is posted in public or privately sent, is the under the complete control of the User who created or originally shared it. Between you and The LIVE Studio, you represent that you own – or own all rights requisite to give The LIVE Studio the rights below – any User Content that you upload to The LIVE Studio Service, and that The LIVE Studio will not be required to get licenses from a third party or pay out royalties to any other third party for the purpose of legitimising said content. You grant The LIVE Studio a global, ongoing, irrevocable, non-exclusive, sublicensable and transferable license without royalties as well as the right to utilise, duplicate, send, dispose of, publicly display via any media known currently or invented at a later date, or to alter, change, or make derivative content from your User Content (including, without restriction, translations) for any use whatsoever, including commercial, without compensation to you. Also, you forgo such “moral rights” or rights of privacy or publicity in relation to your User Content. You also give all users of The LIVE Studio Service permission to see your User Content for their own personal, non-commercial purposes. If you give suggestions or feedback to The LIVE Studio about enhancing or including fresh features or products, or you give us any feedback on our services, including written or spoken reviews, you thus grant The LIVE Studio a global, everlasting, irrevocable, non-exclusive license that can be sublicensed or transferable royalty-free and that we have the right to utilise, duplicate, change or create other works based upon your suggestions, feedback, reviews for any use (including marketing purposes), without giving notice, recompense or other offer to you.
You are able to remove your User Content from our site by deleting it. But in other instances, a quantity of your User Content (e.g. posts or comments you make) might not be able to be entirely removed, and in this case, copies of your User Content will persist on The LIVE Studio sites and services. We are not to be relied upon or responsible for the withdrawal or deleting (or the failure to do so) of any of your particular User Content.
9. Rights and Terms for Apps
Owing to your acknowledgement of these Terms, The LIVE Studio gives to you a restricted and revocable license that cannot be transferred, and without any option to sublicense, to download and install a version of The LIVE Studio App on a mobile device or computer owned by you, or to control and run a version of the App only for your particular and personal non-commercial uses. You cannot duplicate the App, except for creating a fair quantity of copies for backup means. Except as solely allowed in these Terms, you cannot:
duplicate, change or generate derivative works on the App;
dispense, give out, sublicense, rent, lend the App to any third party;
Reverse-engineer or take apart the App; or
make the serviceability of the App accessible to other or more users
The LIVE Studio keeps all rights to the App not hereby given to you under these Terms.
The next terms are applicable to any LIVE Studio App accessed via or downloaded from any app location or platform (e.g the Apple App Store or Google Play) where the App might now or in the future be accessed.
You acknowledge not to:
Post, upload or transmit any User Content or take part in actions that:
infringe, make illegal use of or contravene a third party’s patent, copyright, trade secret, intellectual property rights or other rights
violate, or allow any behaviour that might violate any appropriate laws that might result in civil liability;
is deceitful, fake or false;
is defamatory, obscene, vulgar or pornographic;
promotes discrimination, bigotry, racism, hatred, harassment against any person or group;
is violent or threatening or promotes violence or actions that are threatening to any person, animal or entity;
exploits minors or
promotes unlawful or harmful actions
Utilise, show or mirror The LIVE Studio’s offerings, including The LIVE Studio’s name, visual layouts and designs of any page of our services without The LIVE Studio’s exact written permission;
Retrieve or misuse private parts of The LIVE Studio or of our providers;
Try to study or test the weakness of any of The LIVE Studio systems, pages or break into any security measures;
Avoid, disconnect, deactivate, damage or otherwise evade any security measures put in place by The LIVE Studio or any of our providers to protect our Content;
Evade any geographic laws, including IP address-based restrictions, that might be applicable to The LIVE Studio Service;
Try to get at, scrape or search The LIVE Studio Service or Content or download Content from our site including through use of such engines, software, tools or agents, e.g. spiders, robots, crawlers, data mining tools, plugins or any other agents provided by us or available via third-party web browsers;
Submit any non-solicited advertising, promotional materials, junk mail, spam, chain letters or spam;
Utilise hidden text or metadata with a The LIVE Studio trademark without our complete written permission;
Use any part of The LIVE Studio’s Content for commercial purposes or for the profit of a third party or in any manner not allowed by these Terms
Fake any TCP/IP packet header or such part of our header information in any email, or utilise The LIVE Studio Service or Content to send changed, deceptive or fake source-identifying data;
Attempt to make sense of, disassemble or reverse engineer any of the software we use to provide our services or content
Tamper, or try to tamper with the credentials or access of any user, host or network, including transmitting a virus, flooding, spamming, or mail-bombing The LIVE Studio Service;
Obtain or store any personally identifiable information from The LIVE Studio Service Users without their complete permission;
Duplicate, utilise, catalogue, tell or give out any data gathered from The LIVE Studio Service, whether via Users or via third parties without The LIVE Studio’s complete written permission;
Alter, copy, keep, give out or make derivatives from the Content available via The LIVE Studio Service – only when expressly allowed in writing by The LIVE Studio;
Mimic or impersonate any person, user or entity;
Access, utilise or use The LIVE Studio Service in a way – other than permitted by these Terms – encompassing building, development, copying, or giving an opinion on any product or service that might be in competition with The LIVE Studio or The LIVE Studio Service;
Breach relevant laws or regulations; or
Allow or enable any other individual to do any of the previously stated items.
You also agree to abide by The LIVE Studio d Conditions and Privacy Policy Terms. Although we’re not obligated to keep watch over access to or use of The LIVE Studio Services or Content or to read or manage any User Content, we will do so in order to adequately run The LIVE Studio Service and to make sure of agreement with these Terms, or to adhere to relevant law or other legal needs and to keep the ethics and reputation of The LIVE Studio Services. We maintain the right, but are not required to take away or revoke access at any time and without notice to any User Content. This includes any User Content we consider to be illegal, objectionable or in breach of these Terms. We maintain the right to investigate breaches of these Terms or any action that might affect The LIVE Studio Service. Furthermore, we might consult and cooperate with law enforcement to pursue and prosecute users who violate the law.
10. Member Interactions, Dealings with Third Parties
When dealing with other The LIVE Studio members, you should use caution and common sense to make sure your individual safety and property is protected, exactly as you might during interactions with individuals you don’t know. Taking part in, corresponding, doing business dealings, personal deals, or the like with any other person met on The LIVE Studio site or Service, whether concerning payment or delivery of specific goods, donations, or any other terms applying therein, are only between you and a third party. You acknowledge that The LIVE Studio will not be liable for any loss or damage in such matters.
11. Indemnification
You acknowledge that you will indemnify, defend, and hold harmless The LIVE Studio and any of its staff or agents from and against all claims, damages, losses and costs that arise from or relate to your actions on The LIVE Studio Service, any User Content given by or on behalf of you or your violation of these Terms.
12. Third Party Software and Applications
Downloading or putting in place any third party software or applications that are not exactly authorized by The LIVE Studio on any of our hardware that creates a breach of these Terms; any downloading or installation is done at your own risk and could void any warranty or support by us at The LIVE Studio.
13. Third Party Links and Content
We might feature links on The LIVE Studio site that allow you leave The LIVE Studio Service to gain access to a linked site operated by a third party. The LIVE Studio is not responsible for these sites, nor have we approved any content on them. The LIVE Studio will not be responsible for any content on or available from any such third party sites. You agree that we are not liable in any way for damage or loss occasioned by or in connection with use of any of the links or content on such third party sites.
15. No Warranties
The LIVE Studio retains the right to alter our Service, which isn’t limited to altering, modifying or taking away any Content displayed on The LIVE Studio site. You are liable for giving your own access, for example, via computer, mobile or Internet, to The LIVE Studio Service. The LIVE Studio has no responsibility to take charge of any Content. We cannot say that any Content on The LIVE Studio site is fitting for all our users.
The LIVE Studio provides our services on an as available basis. Use of The LIVE Studio Service is at your own risk. Other than as exactly given in writing by The LIVE Studio at the time of buying a product, The LIVE Studio disclaims any and all warranties of any kind, whether outwardly stated or implied to the extent permitted by law. This is not limited to implied warranties, quiet enjoyment or any other warranty that might arise under any regulations or law. The LIVE Studio makes no guarantees or warranties:
That The LIVE Studio’s offerings are or will be allowed in your area;
That The LIVE Studio offerings will be without interruption or not contain errors;
In relation to any Content, including User Content;
In relation to any third party’s use of such Content submitted by you;
That The LIVE Studio Service shall meet your individual needs;
That The LIVE Studio will support any particular feature of The LIVE Studio Service in a continuing manner or
In relation to sites and resources outside of The LIVE Studio Service, even if linked to via our site.
Insofar as other Users or parties might gain access to or see Content on your device, you alone are responsible for telling such party of all warnings in these Terms. TO THE EXTENT ANY RESTRICTION OF LIABILITY DOES NOT APPLY, ALL APPLICABLE COMPLETE, IMPLIED, AND STATUTORY WARRANTIES WILL BE RESTRICTED IN DURATION TO A TIME OF 30 DAYS AFTER THE DATE ON WHICH YOU BEGAN TO USE THE LIVE STUDIO SERVICES. 15. Limitation of Liability
To the fullest extent permitted by law:
The LIVE Studio will not be responsible for any indirect, special, punitive, or exemplary damages, not limited to: economic damages, damages claimed for loss of profits, use, data, service interruption, computer breakage, system failures, non ability to utilise or access The LIVE Studio Service or Content or other such losses, even if a specific fix applied is revealed to have failed its primary objective; and
The LIVE Studio’s complete liability to you for any aggregated claim will not be more than the amount actually paid by you to The LIVE Studio over the one year preceding the date your first claim arose.
Should one or any aspects of The LIVE Studio’s limitations as laid out herein not apply to you, all remaining aspects survive. The exclusions and limitations of damages laid out above are basic aspects of the basis of the agreement between The LIVE Studio and you.

When you become a User and intend to start to use The LIVE Studio Service, you confirm that either (A) all of the following statements are true:
no doctor or GP has ever told you that you have a heart condition or that you should only do physical activities recommended by a doctor or GP or healthcare professional;
you have never experienced chest pain when taking part in physical activity;
you haven’t felt chest pain at any other time, e,g. when not taking part in physical activity at any time within the past month;
you have never lost consciousness or you balance due to dizziness,
you don’t have an issue with bones or joints that could be exacerbated by a difference in your physical activity;
your doctor or GP is not currently issuing you with prescriptions for drugs for blood pressure or a heart condition;
you don’t have a history of high blood pressure
No one in your immediate family has a history of heart problems or high blood pressure
you don’t know of any other reason you shouldn’t take part in exercise;
OR:
(B) your doctor or GP has been particularly asked by you and has approved of your use of The LIVE Studio.
If applicable, you further confirm that:
you are not pregnant, breastfeeding or lactating, unless:
your doctor or GP or a healthcare professional has been clearly consulted and has approved your use of The LIVE Studio Service.
The LIVE Studio retains the right to refuse or cancel your membership if we decide or find out that you have certain medical conditions or that the representations set forth above are untrue in any respect.
17. Intellectual Property Acknowledgment
You acknowledge and agree that your utilisation of The LIVE Studio Services and any Content contained herein is dependent upon you agreeing to and abiding by The LIVE Studio Intellectual Property and DMCA Policy always. You also agree that The LIVE Studio Service contains software and other content that is protected by copyrights, patents, trademarks, trade secrets and other such rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All The LIVE Studio-generated content, and content provided to The LIVE Studio by its partners and licensors, is copyrighted individually and/or as a collective work under the U.S. copyright laws and all applicable international copyright (or equivalent) laws in all jurisdictions and protected under other intellectual property laws worldwide; further, as between you and The LIVE Studio, The LIVE Studio own intellectual property rights in the selection, coordination, arrangement and enhancement of all content in The LIVE Studio Service.
18. Intellectual Property Usage and Reporting Infringement
The LIVE Studio respects the intellectual property rights of others. We request that our users act in the same way. Every user is liable for making sure that their own User Content will not breach any third party’s right or other intellectual property rights. If you believe that The LIVE Studio Service or any Content contains aspects that breach or misappropriate your copyrights or other intellectual property rights (or the intellectual property rights of others), please refer to The LIVE Studio Intellectual Property and DMCA Policy for directions on how to report it to us.
19. Interpretation; Severability; Waiver; Remedies
Headings are included here only for convenience . If any term of these Terms is decided to be not valid or unable to be enforced by a court of competent jurisdiction, that term will be removed from these Terms. No failing or tardiness on the part of The LIVE Studio in exercising any right herein will waive any following exercise of that right. The waiver of any such right or provision will be effective only if received in writing and signed by a permitted representative of The LIVE Studio. The LIVE Studio’s rights and remedies are cumulative and not exclusive.
20. Successors; Assignment; No Third Party Beneficiaries
These Terms will be binding upon and are for the benefit of both parties and their successors, executors, administrators or personal representatives. You cannot give away or transfer these Terms without The LIVE Studio’s prior written permission. We may assign our rights, obligations or these Terms at any time at our sole discretion without giving you notice.

You assent to receive all communications including notices, agreements, disclosures, or other information from The LIVE Studio electronically. 22. Modification
We might update these Terms at any time, in our sole discretion. If we do so, we’ll let you know by, at a minimum, posting the updated Terms as shown in the “Last Updated” date at the head of this document, on The LIVE Studio Site or via The LIVE Studio Service. Changes will be in effect on the date they’re posted up on The LIVE Studio Site. It’s important that you look at and review the Terms whenever we update them before you use The LIVE Studio Service. If you carry on using The LIVE Studio Service after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you don’t agree to be bound by the updated Terms, then, except as otherwise stated in Section 20(f) “Effect of Changes on Arbitration,” you cannot use The LIVE Studio Service anymore. 23. Entire Agreement
If a conflict arises between any policies posted on The LIVE Studio Site or Services and these particular Terms, these Terms will retain primacy. These Terms represent the entire understanding between The LIVE Studio and you regarding The LIVE Studio Service or Content and take precedence over all other or previous agreements and similar documents. If any provision of these Terms is shown to be not valid or not able to be enforced by a court of competent jurisdiction, such provision will be enforced to the greatest extent permissible; the other provisions of these Terms will still stand in greatest force and effect.
24. Force Majeure
Neither Party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable in accordance with these terms) for causes beyond the party’s reasonable control and not caused by that party’s fault, or negligence, including, but not limited to, “acts of God”, acts of government, flood, fire, civil unrest, acts of terror, strikes, computer attacks or malicious attacks on internet providers or telecommunications or hosting facilities, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay would not have been prevented by reasonable precautions and measures and cannot reasonably be avoided by the non-conforming Party through the use of other sources, plans, disaster recovery, business continuity measures or any other mean. Dates by which any obligations are due to be met will be extended for such a period of time equal to any time lost due to any delay caused in such a way.
When you buy and start to use a membership with The LIVE Studio, you acknowledge and agree to the terms and conditions as follow, which are in addition and are a part of The LIVE Studio’s Terms of Service. Any Capitalized terms that aren’t explained here are fully defined with the Terms of Service themselves.
A “Member” is any person who has opened and holds an account with The LIVE Studio. A “Membership Holder” is any Member who activates their account and so pays the monthly subscription fees for a Membership.
“Membership” has various definitions. It either refers to a Full Membership, or other options, as explained below:
Membership Options and Billing Cycles
Membership Options. Buying a membership subscription to The LIVE Studio gives you a Full Membership. This will give ONE person in ONE household complete access to The LIVE Studio’s classes, blogs, online content and other materials. This is applicable as long as the Full Membership remains active.
It is possible – as a Membership Holder – to have more than one Membership. However, you are not allowed to share your membership with any other person. Should we find indications that this is the case, it will result in immediate termination of your membership. As the Membership Holder you are liable for all access and uses that take place under your Membership.
Billing Cycles and Automatic Renewal. A Membership with The LIVE Studio will continue on a monthly basis until such time as it is cancelled or terminated in agreement with these Membership Terms. Billing takes place at the start of the Membership cycle. It gives access for the following (one) month. By buying a Membership to The LIVE Studio, you acknowledge and agree that your Membership has ongoing payment features (recurring billing). You take responsibility and are liable for any and all recurring payment commitments that are due before the cancellation of your Membership – by you or The LIVE Studio. Please visit the Account Settings to amend or end your Membership.
Prepaid Periods. You might be offered the chance to pay in advance for one or more months of your Membership. When the prepaid period finishes, unless you cancel before renewal, and to the extent permitted by applicable law, your Membership with The LIVE Studio will automatically recur on a monthly basis. This will be at the then-applicable non-promotional Membership price.
Other Offers. The LIVE Studio might, from time to time, offer a variety of promotions or savings on Memberships. Before signing up to any offers, please read the details closely, as any extra terms given to you during this signing up procedure will be part of these Membership Terms. All promotional offers that need a payment are non-refundable, unless otherwise mentioned in writing. Free trial periods or other offers must be utilised inside the given time scale of the trial, offer, discount or promotion. The LIVE Studio might require you to have valid payment means on record for us to begin a free trial. In this instance, if you do not cancel the Membership before the completion of the free trial, your account will become one associated with a paid Membership. You will then be charged as per these Membership Terms.
Account Registration
Account Registration. It is possible to register by creating an account on The LIVE Studio Site. This process is explained in greater detail in our Terms of Service. When you create an account, the information you give us must be reliable, meaning name, address, credit or debit card numbers, expiration dates, as well as any other payment information. It will be your responsibility to keep this information current. Please make any changes to your account page as promptly as possible.
YOU MUST TELL US OR OUR PAYMENT PROCESSORS AS SOON AS YOU CAN IF FOR ANY REASON YOUR PAYMENT METHOD IS CANCELLED OR NULL, FOR EXAMPLE THROUGH THEFT OR LOSS. ALSO, IF YOU ARE COGNISANT OF ANY POSSIBLE CONTRAVENTION OF SECURITY, E.G. THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR USERNAME OR PASSWORD LET US KNOW AT ONCE.
Ending or Cancelling your Subscription
Cancelling The LIVE Studio Memberships. If and when you end your Membership, you will be allowed to utilise your Membership until the conclusion of contemporary period of time (e.g. the end of the relevant current month). Your Membership will then not be renewed. There will be no refunds (on a pro-rata basis) of any of the Membership fee paid for the – at that point – current Membership time. This will be subject to the relevant cancellation and refund rights, which are detailed in the following paragraphs.
Suspending/Terminating of Memberships. The LIVE Studio could end or suspend your account, or all or a particular section of your Membership with immediate effect, and without informing you, in the following situations:
A payment is overdue (we will make a fair effort to let you know about any overdue payments before we take action to suspend or terminate your account),
If you give us misleading or untrue information,
If you contravene these Membership Terms, or our Terms of Service or the rules or regulations of The LIVE Studio which are then live and in effect
If you take part in behaviour or act in violation of any pertinent and current law or regulation. This includes, in any instance, copyright and intellectual property laws,
If you participate or act in a manner that is intimidating, abusive, bullying or harassing to any employee of The LIVE Studio, or other The LIVE Studio users.
Should we take action to end or suspend your Membership, your license to use any of our programmes, tools, software or content that form part of your Membership with The LIVE Studio will also be concluded or suspended. Should your Membership be terminated, The LIVE Studio retains the right to expunge all information, files, and other data stored on your account. We may do this at once and without any notice to you.
All fees and charges applicable up to and including the date of termination are expected to be paid. If after a suspension you want to resume your Membership with The LIVE Studio, a re-establishment fee could apply. This fee would be in due on top of any overdue unpaid fees or charges.
Payment
Chargeable Amounts
As a Membership Holders you acknowledge and agree that you will pay the monthly fee listed at the time you bought your Membership, in addition to any further relevant fees or taxes. Should the chargeable amount differ from the amount pre-authorized by you – with the exclusion of, for example, a required sales tax – you will have the right to be given notice of the amount to be charged and the date of the charge, provided by us, prior to the arranged date of the payment. This will be the case, unless relevant law deems it necessary for you to clearly give permission for the alteration in price. Your use of a particular payment method will be governed by any agreement you hold with your payment provider. You concur that we have the right to amass fees incurred and present them as a single, or multiple collected charges, throughout or at the end of each billing cycle. Ongoing use of your Membership with The LIVE Studio, or a failure to end it, re-establishes the fact that we are permitted to charge you for the Membership. We might present those charges for payment and you will be liable to meet such charges. This does not relinquish our right to request payment straight from you.
Billing Authorization. You might be requested to give an active payment method like a credit or debit card number and other payment information, which we will need to acknowledge in order for you to press play and begin your Membership with The LIVE Studio. You guarantee that you have the legal right to use any methods of payment that you give to us. The authorizations you give in this section are also applicable to our payment processors or other companies acting in a capacity as our billing agents. You hereby give us permission to charge your listed payment method on a monthly basis, and in advance for your Membership or Memberships to The LIVE Studio. You also give us permission to put a hold on your payment method in reference to possible unpaid or overdue fees. You give permission for the issuer of your chosen payment method to transact any amounts described here, without needing a receipt that has been signed by you, and you agree that these Membership Terms shall be accepted as authorization to the issuer of the payment method to pay any amounts described herein, without requiring a signed receipt from you. You also grant that we can continue to try to charge and/or put holds on all sums set forth in these Terms, or any part of them, until the relevant charges are fully paid. You agree that you will give us up-to-date payment information when we request it, including if and when the information you gave us in the past has become invalid. You recognise and concur that neither The LIVE Studio or any of our agents will have any responsibility for inadequate funds or other fees sustained as the outcome of endeavours to charge or place holds on your chosen payment method. Should you give us a debit card number as opposed to a credit card, you grant all charges described in these Terms to be applied to the listed debit card unless and until you give us alternative payment means or a credit card number.
Third-Party Payment Processors. You concur that you will pay The LIVE Studio via our payment processors, any and all fees – at the relevant and listed prices – for any acquisitions in agreement with the relevant payment terms given to you at the time of purchase. You recognise and agree that you will make payment utilising the payment method that you gave us when you set up your account with The LIVE Studio. We retain the right to amend, or to tell our payment processors to amend, any misreckoning or errors, even if payment should have been asked for or received already.
Bill Inquiries and Refunds. Should you believe you have been charged by mistake for a Membership to The LIVE Studio, please tell us inside 60 days of the date of billing. The LIVE Studio will not be liable for, or issue any refunds or credits after this 60-day period has elapsed, unless when or where compelled to by applicable law.
